1. Introduction
Welcome to IA Systems International (“Company”, “we”, “our”, or “us”).

2. Company Services

- Cloud Solutions
- IT Consulting
- Technical Support
- Digital Marketing
- Search Engine Optimization (SEO)
- Business Digital Transformation
The exact scope of work will be defined in an individual Proposal, Quotation, Contract or Statement of Work.
3. Acceptance of Proposal
A project begins only after:
- Client approves the quotation/proposal.
- Required advance payment is received.
- Necessary project information is provided.
4. Client Responsibilities
The Client agrees to:
- Provide complete project requirements.
- Supply all necessary content.
- Provide branding assets.
- Respond to approval requests promptly.
- Review deliverables within agreed timelines.
- Ensure all provided content does not infringe third-party rights.
Project delays caused by missing client information may result in revised delivery schedules.
5. Payments
Unless otherwise agreed:
- All invoices are payable by the due date.
- Advance payments are non-refundable once work has commenced.
- Remaining payments become due according to agreed milestones.
- Late payments may result in suspension of services.
- Ownership of deliverables remains with IA Systems International until full payment is received.
6. Refund Policy
Refunds are only available where specifically agreed in writing.
No refunds will be provided for:
- Completed work
- Development hours already spent
- Consulting services
- AI training/setup
- Custom software
- Custom websites
- Digital marketing work already performed
7. Project Timelines
Delivery estimates are approximate.
Delays may occur due to:
- Client revisions
- Delayed approvals
- Third-party service interruptions
- Hosting issues
- Force majeure events
8. Revisions
Unless otherwise stated:
Projects include reasonable revisions.
Additional revisions beyond the agreed scope may incur additional charges.
9. Change Requests
Any modification outside the original scope shall be treated as a Change Request.
Additional work may require:
- Revised quotation
- Additional timeline
- Additional payment
10. Intellectual Property
Upon full payment:
The Client receives ownership of the final agreed deliverables unless otherwise specified.
IA Systems International retains ownership of:
- Development tools
- Frameworks
- Libraries
- Source templates
- Internal methodologies
- Proprietary AI systems
- Reusable code
Third-party software remains subject to its own licenses.
11. Portfolio Rights
Unless agreed otherwise in writing, we reserve the right to display completed work within our:
- Website
- Portfolio
- Social Media
- Marketing Materials
Confidential projects will not be disclosed without permission.
12. Third-Party Services
Projects may integrate third-party services including:
- OpenAI
- Microsoft
- Meta
- Stripe
- PayPal
- AWS
- Azure
- Hosting providers
- Domain registrars
Their terms and privacy policies apply independently.
We are not liable for outages, pricing changes, or policy changes made by third parties.
13. AI Services
AI-generated outputs:
- May contain inaccuracies.
- Should be reviewed before business use.
- Do not constitute legal, medical, financial, or professional advice.
Clients are responsible for verifying AI-generated content before publication or implementation.
14. Support & Maintenance
Support is only included if specified in the proposal.
Support generally excludes:
- New feature development
- Third-party failures
- Client-caused issues
- Malware infections
- Hosting issues outside our control
15. Website Hosting & Domains
If hosting or domain registration is managed by the client:
The client is solely responsible for:
- Renewals
- Hosting fees
- Domain ownership
- DNS configuration
16. Confidentiality
Both parties agree to keep confidential information private unless disclosure is required by law.
17. Limitation of Liability
To the maximum extent permitted by law:
IA Systems International shall not be liable for:
- Lost profits
- Loss of data
- Business interruption
- Indirect damages
- Consequential damages
Our total liability shall not exceed the amount paid by the client for the relevant project.
18. Warranties
Services are provided “as is.”
No guarantee is made regarding:
- Search engine rankings
- Revenue increases
- AI output accuracy
- Third-party platform availability
- Future compatibility with external software
19. Termination
Either party may terminate the agreement by written notice.
The client remains liable for all completed work up to the termination date.
20. Force Majeure
Neither party shall be liable for delays caused by events beyond reasonable control including:
- Natural disasters
- War
- Internet outages
- Government restrictions
- Pandemics
- Cyber attacks
21. Governing Law
These Terms shall be governed by the laws agreed within the project contract or applicable jurisdiction.
